WHEREAS

1. The Company operates a digital platform/application for listing, promoting, and facilitating
   property transactions.
2. The Dealer is engaged in the business of property dealing and desires to use the Company’s
   application for business purposes.
3. Both parties wish to work together in good faith, transparency, and loyalty.

NOW, THEREFORE, THE DEALER UNDERTAKES AS FOLLOWS:

1. Accurate Information:
   The Dealer shall provide true, correct, and updated property details, ownership documents, and
   client information on the platform.
2. Non-Misuse:
   The Dealer shall not misuse the application for fake listings, fraudulent transactions, or
   misleading information.
3. Exclusivity & Loyalty:
   The Dealer agrees to give preference to the Company’s application for promoting properties and
   shall not indulge in practices that may harm the reputation of the Company.
   4. Transparency in Dealings:
   The Dealer shall conduct all transactions in a fair, ethical, and lawful manner.
4. Confidentiality:
   Any client leads or data received through the Company’s application shall be used only for

legitimate business purposes and not shared with competitors.

6. Compliance with Law:
   The Dealer shall comply with all applicable laws, rules, and regulations regarding property
   transactions.
7. Termination:
   In case of breach of this undertaking, the Company reserves the right to delist or terminate the
   Dealer’s association with immediate effect.
8. No Direct Contact with Buyers:
   The Dealer agrees not to establish direct contact with any buyer, lead, or client obtained
   through the Company’s application, except through the platform or as authorized by the
   Company in writing. Any attempt to bypass the Company by directly dealing with such buyers
   shall be treated as a breach of this Undertaking.
9. Legal Remedies & Jurisdiction:
   This Undertaking shall be governed by and construed in accordance with the provisions of the
   Indian Contract Act, 1872, particularly Section 10 thereof, which provides that all agreements
   made by free consent of parties competent to contract, for a lawful consideration and with a
   lawful object, are contracts enforceable by law.
   The parties further agree that any disputes, claims, or differences arising out of or in connection
   with this Undertaking, including its interpretation, validity, performance, or breach, shall be
   subject to the exclusive jurisdiction of the competent Courts at Delhi, to the exclusion of all
   other courts.
